1. Acceptance of Terms
By accessing or using NexusHQ, a product of LPB Tax and Accounting Services ("LPB," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use NexusHQ.
2. Description of Service
NexusHQ provides automated economic nexus analysis for ecommerce businesses based on sales data you upload. The service generates a free nexus summary and a full Nexus and Exposure Blueprint, both at no cost. NexusHQ is a decision-support tool. It does not constitute legal or tax advice and does not create a CPA-client relationship.
3. Not Legal or Tax Advice
The analysis, reports, and content generated by NexusHQ are for informational and decision-support purposes only. They do not constitute legal advice, tax advice, or a formal engagement with LPB Tax and Accounting Services. Economic nexus thresholds are subject to change. State-specific rules vary. You should consult a licensed CPA, tax attorney, or enrolled agent before taking any compliance action based on this analysis.
LPB Tax and Accounting Services is not liable for any penalties, interest, assessments, or damages arising from actions taken or not taken based on information generated by NexusHQ.
4. No Charge
The Full Nexus and Exposure Blueprint is provided at no cost. Your report is generated and made available on screen immediately after your assessment, and can be downloaded as a PDF from the report page. No payment is collected and no refund is applicable.
5. Acceptable Use
You agree not to:
- Submit false, misleading, or fabricated sales data
- Use NexusHQ for any unlawful purpose
- Attempt to reverse engineer, scrape, or exploit the service
- Share access to reports with third parties for commercial resale
6. Your Data
You retain ownership of the sales data you upload. By using NexusHQ, you grant LPB Tax and Accounting Services a limited license to process your data for the purpose of generating your analysis. We do not sell your data or share it with third parties except as described in our Privacy Policy. See our Privacy Policy for full details.
7. Accuracy and Limitations
NexusHQ uses publicly available state nexus thresholds and your uploaded sales data to produce estimates. Exposure estimates are approximations based on blended tax rates and may not reflect your actual liability. Product-specific exemptions, origin-based vs. destination-based rules, and other state-specific nuances may affect actual obligations. We update threshold data regularly, but we do not guarantee real-time accuracy.
8. Limitation of Liability
To the fullest extent permitted by applicable law, LPB Tax and Accounting Services shall not be liable for any indirect, incidental, special, or consequential damages arising from use of NexusHQ, even if advised of the possibility of such damages. Our total liability for any claim arising from use of NexusHQ shall not exceed the amount you paid for the service, if any.
9. Modifications
We may update these terms periodically. Continued use of NexusHQ after changes constitutes acceptance of the updated terms. Material changes will be reflected in the "Last updated" date above.
10. Governing Law
These terms are governed by the laws of the jurisdiction where LPB Tax and Accounting Services is registered, without regard to conflict of law principles.
